When Do You Need to File an Annual Return in Cyprus?

Filing an Annual Return (HE32) is a crucial compliance requirement for all registered companies in Cyprus. As per the Companies (Amendment) Law 2024, N.18(I)/2024, failure to file on time may result in financial penalties. Here’s what you need to know about when and how to file your Annual Return to avoid penalties.

Annual Return Filing Deadlines

Since June 19, 2015, the Annual Return must be:

  • Drafted up to the company’s annual return date
  • Filed with the Registrar of Companies within 28 days from the drafting date

How Is the Annual Return Date Determined?

The Annual Return Date is defined based on whether your company is newly incorporated or already existing:

New Companies

  • The first Annual Return must be drafted 18 months after the company’s incorporation.

  • Example: If your company was incorporated on January 6, 2017, your first Annual Return must be drafted by July 7, 2018.

Existing Companies

  • The Annual Return drafting date is one year from the last filed Annual Return.

  • Example: If your last filed Annual Return was drafted on December 5, 2017, the next Annual Return must be drafted by December 5, 2018.

⚠️ Important Note: You cannot file an Annual Return for the same calendar year as the last filed return.

Extending the Annual Return Date

If needed, companies can extend their Annual Return Date by notifying the Registrar of Companies before the deadline expires. However, the new Annual Return Date:

  • Cannot exceed three months from the original date

  • Cannot go beyond December 31 of the same calendar year

Example: If your return date is October 30, 2018, you must notify the Registrar by October 29, 2018, and the new date cannot exceed December 31, 2018.

Late Filing Fees for Overdue Annual Returns

According to the Companies (Amendment) Law 2024, N.18(I)/2024:

  • €50 penalty on the first day of late filing.

  • €1 additional penalty per day of non-compliance.

  • Maximum total penalty of €150.
